The rules for using the HAVEN interface. Plain-language summaries of each section appear below; counsel supplies the binding text.
Version 0.1-draft. This document is a structured draft prepared for counsel review before the HAVEN production review. It is not yet in force.
1. Non-custodyDraft
HAVEN does not take custody of your wallet. When production contracts are live, collection settlement follows the collection's on-chain rules. HAVEN cannot recover wallet keys or reverse blockchain transactions.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
2. Interface and protocolDraft
The HAVEN contracts will be public and usable without this website. These terms govern the interface only; HAVEN may restrict interface access at any time, and direct interaction with the contracts is outside these terms.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
3. EligibilityDraft
You must be 18 or older, not subject to sanctions, and not located in a restricted region. Which features are available where is published on this site and enforced by the interface, not by the contracts.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
4. FeesDraft
No production NFT/RWA fees are currently active. Before any launch or transaction, the interface will show the mint, protocol, marketplace, creator-royalty, redemption, and network fees that apply.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
5. Prohibited conductDraft
- Wash trading, sybil rings and coordinated funding clusters
- Market manipulation, impersonation and scraping
- Circumventing regional restrictions
- Misrepresenting a vault's backing, NAV, issuer eligibility or redemption rights
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
6. Interface-level enforcementDraft
HAVEN may delist content from the catalog, remove features, revoke verification or decline to sponsor transaction fees. None of these actions can move or freeze funds.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
7. No investment advice, no fiduciary dutyDraft
Nothing on HAVEN is investment advice. Market-pegged NFTs can lose all value, and leverage magnifies losses exactly as it magnifies gains. An NFT is not direct ownership of the referenced stock or coin; oracle, liquidity, jurisdiction, settlement, floor, cap, and discontinuity restrictions may apply.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
8. Third-party services and market dataDraft
Login, tokenized assets, wallets, blockchain access and cash-out may be provided by third parties under their own terms. Stock and coin reference data may be supplied by third-party oracle and market data providers. Delayed, unavailable, corrected, or discontinued data may affect settlement.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
9. Your contentDraft
You grant HAVEN a licence to display the collection metadata and artwork references you submit. You warrant that you have the rights required to use that material. DMCA notices go to the designated agent named in the final terms.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
10. Disclaimers and limitation of liabilityDraft
Service provided as-is; liability capped at fees you paid to HAVEN in the prior twelve months; indemnity for misuse.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
11. DisputesDraft
Arbitration with a class-action waiver, a 30-day opt-out and a small-claims carve-out; Delaware law; 14 days' notice of material changes; export-control compliance.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
12. EU/UK consumer addendumDraft
Mandatory local consumer law is preserved for EU/EEA and UK consumers: courts of your residence, no arbitration or class waiver, and the 14-day withdrawal right where a paid service is sold.
Placeholder: final wording to be supplied by counsel (docs/13 §10, W4/W6 memos).
13. Creator termsDraft
Creators warrant that they have the rights needed for collection metadata and artwork. They must accurately disclose the reference market, movement rule, leverage, fees, restrictions and risks, avoid promises of value, and remain responsible for legal and tax obligations.
